These Terms of Service (“Terms”) govern your use of
asgdropshipping.com and your enquiries about services provided by
Dongguan Horizon Supply Chain Management Co., Ltd. (“ASG Dropshipping”,
“ASG”, “we”, “us”, or “our”). By using the website or requesting
services, you agree to these Terms. A separate signed agreement,
accepted quote, purchase order, or service schedule may add to or
replace parts of these Terms.

2. Services
ASG may provide product sourcing, supplier comparison, sample
coordination, purchasing support, quality-control services,
private-label and packaging coordination, warehousing, order fulfilment,
shipping coordination, tracking support, ecommerce integration, and
related consulting or operational services.
The exact scope, price, timeline, minimum order requirements,
inspection standard, shipping route, and service responsibilities are
defined in the applicable quote, order, or written agreement. Website
descriptions are general information and are not a binding promise for a
particular order.
3. Quotes, Orders, and Payment
- Quotes are estimates based on the information available when issued
and may expire or change if product specifications, quantities, supplier
pricing, exchange rates, taxes, freight, destination requirements, or
other inputs change. - An order is accepted only when ASG confirms it in writing and any
required deposit or payment has cleared. - You are responsible for reviewing product specifications,
quantities, packaging, destination details, and shipping instructions
before approval. - Fees, payment timing, currencies, refunds, credits, and chargeable
third-party costs are governed by the accepted quote or agreement. - ASG may pause work when required information, approvals, or payments
are overdue.

Samples, Product Specifications, and Quality Control
Samples and quality checks reduce risk but cannot guarantee that
every unit or every production batch will be free from variation or
defects. Inspection scope, sampling method, tolerance, and evidence must
be agreed for the relevant order. Where you approve a sample,
specification, packaging proof, or inspection result, production and
fulfilment may proceed on that basis.
You are responsible for ensuring that requested products, labels,
claims, packaging, and instructions are lawful and suitable for the
intended market unless a separate compliance service has been agreed in
writing.
5. Shipping, Customs, and
Delivery
Delivery estimates are not guarantees. Carriers, customs authorities,
weather, peak periods, destination restrictions, incorrect addresses,
remote-area surcharges, force majeure, and other events outside ASG’s
reasonable control may affect timing and cost.
Unless a written agreement states otherwise, you are responsible for
destination-country import rules, duties, taxes, licences, product
restrictions, and customer-provided address accuracy. Risk of loss and
responsibility for claims are determined by the accepted quote, shipping
terms, and carrier rules.
6. Ecommerce and
Third-Party Platforms
Integrations with Shopify, WooCommerce, payment services, carriers,
marketplaces, or other third-party systems depend on those providers. We
do not control their availability, policies, fees, API changes, account
decisions, or security incidents. You must protect your credentials and
provide only the access reasonably required for the agreed work.
7. Acceptable Use
You must not use the website or services to:
- Violate law, sanctions, export controls, intellectual-property
rights, privacy rights, or platform rules. - Source or distribute counterfeit, prohibited, unsafe, fraudulent, or
misleading products. - Upload malicious code, attack systems, scrape restricted data, or
interfere with service operation. - Misrepresent your identity, authority, product claims,
certifications, order volume, or intended use.
ASG may refuse or pause work that appears unlawful, unsafe,
deceptive, or outside the agreed scope.
8. Intellectual Property
ASG owns or licenses the website content, branding, software,
processes, templates, and general know-how unless stated otherwise. You
retain rights in materials you provide. Custom designs, packaging files,
photos, videos, and other deliverables are governed by the applicable
quote or agreement, including any payment conditions and third-party
rights.
9. Confidentiality
Each party should use reasonable care to protect non-public business,
supplier, pricing, product, customer, technical, and operational
information received from the other party. Confidentiality obligations
do not apply to information that is public through no breach,
independently developed, lawfully received from another source, or
required to be disclosed by law.
10. Warranties and
Disclaimers
We will perform agreed services with reasonable care. Except for
express commitments in an accepted quote or signed agreement, the
website and services are provided on an “as available” basis. To the
maximum extent permitted by law, we disclaim implied warranties of
merchantability, fitness for a particular purpose, uninterrupted
availability, and non-infringement.
ASG does not guarantee sales, advertising performance, marketplace
approval, customs outcomes, fixed delivery dates, lowest prices, or
uninterrupted third-party services.
11. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will
be liable for indirect, incidental, special, punitive, or consequential
losses, including lost profit, lost revenue, lost data, or business
interruption. ASG’s aggregate liability arising from a specific order or
service will not exceed the fees paid to ASG for that specific order or
service during the event giving rise to the claim, except where
liability cannot lawfully be limited.
12. Indemnity
You agree to be responsible for claims, losses, or costs arising from
materials, product claims, specifications, instructions, unlawful use,
intellectual-property infringement, or regulatory non-compliance
supplied or directed by you, except to the extent caused by ASG’s proven
breach of an agreed obligation.
13. Suspension and
Termination
Either party may end an ongoing service according to the applicable
agreement. ASG may suspend or terminate access for material breach,
non-payment, unlawful conduct, security risk, or repeated failure to
provide required information. Accrued payment, confidentiality,
intellectual-property, liability, dispute, and record-keeping provisions
survive termination where applicable.
14. Governing Terms and
Disputes
The parties should first try to resolve disputes through good-faith
written discussion. Unless a signed agreement states otherwise, these
Terms are governed by the laws applicable where Dongguan Horizon Supply
Chain Management Co., Ltd. is established, without excluding mandatory
consumer or data-protection rights that cannot lawfully be waived. Venue
and dispute procedures may be specified in the accepted quote or signed
agreement.
15. Changes
We may update these Terms as services or legal requirements change.
The revised Terms will be posted on this page with a new “Last updated”
date. Changes do not retroactively alter an already accepted order
unless agreed in writing or required by law.
